1. Agreement to These Terms

These Terms of Service (the "Terms") govern your access to and use of the website located at https://www.paxcapitalpartners.com/ and any related pages, content, and features (collectively, the "Site"), operated by Pax Capital Partners LLC, a Delaware limited liability company ("Pax Capital," "we," "us," or "our"). By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, do not access or use the Site.

We may revise these Terms at any time in our sole discretion. Revisions are effective when the updated Terms are posted, and your continued use of the Site after posting constitutes acceptance. We will indicate the date of the most recent revision above. Please review these Terms periodically.

2. Eligibility

The Site is intended for users who are at least eighteen (18) years old. By using the Site, you represent that you are of legal age to form a binding contract and that your use complies with all applicable laws. The Site is directed to users in the United States; if you access it from other jurisdictions, you do so on your own initiative and are responsible for compliance with local law.

4. Accredited Investors Only; Regulation D Rule 506(c)
Interests offered by Pax Capital are offered in reliance on the exemption from registration provided by Rule 506(c) of Regulation D under the Securities Act of 1933, as amended (the "Securities Act"). Purchases are limited to "accredited investors" as defined in Rule 501 of Regulation D, and Pax Capital or its agents will take reasonable steps to verify each investor’s accredited status before any sale. Access to portions of the Site, or to the Offering Documents, may be conditioned on verification of your eligibility.

5. Unregistered, Restricted, and Illiquid Securities
Any securities described on the Site have not been, and will not be, registered under the Securities Act or under any state or foreign securities laws, and are offered pursuant to exemptions from registration. Such securities are "restricted securities," may not be resold or transferred except in compliance with applicable law and the governing Offering Documents, and are subject to significant restrictions on transferability. 16. Indemnification

You agree to indemnify, defend, and hold harmless Pax Capital and its members, managers, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any law or the rights of any third party.

17. Modifications to and Availability of the Site

We reserve the right to modify, suspend, or discontinue all or any part of the Site at any time, with or without notice, and we will not be liable to you or any third party for doing so. We have no obligation to update any information on the Site.

18. Termination

We may suspend or terminate your access to the Site at any time, in our sole discretion and without notice, including for any violation of these Terms. Provisions that by their nature should survive termination — including Sections 3 through 8 and 14 through 20 — will survive.

19. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. You agree that any action or proceeding arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Travis County, Texas, and you consent to the personal jurisdiction of, and venue in, those courts. This Section governs use of the Site only and does not modify any dispute-resolution provision in the Offering Documents, which control any matter relating to an investment.

20. Miscellaneous

These Terms, together with the Privacy Policy and any documents expressly incorporated by reference, constitute the entire agreement between you and Pax Capital regarding the Site and supersede any prior understandings on that subject. If any provision is held invalid or unenforceable, the remaining provisions remain in full force, and the invalid provision will be enforced to the maximum extent permitted. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them without restriction.
