A Regulation D, Rule 506(c) private placement.

Who can invest?

Accredited investors only.

How do you verify accredited status?

As a Rule 506(c) offering, we're required to verify accreditation. You'll complete a short verification step through our third-party administrator before receiving final offering documents.

What is the minimum investment?

The minimum investment is $50,000.

What returns can I expect?

Targeting a 12–18% annual return, paid monthly, with your rate based on your principal amount and locked for 36 months.

What is my return categorized as?

A Preferred Return — more specifically, the return on the non-voting Series A Preferred Units you hold, as defined in the offering documents.

How and when are distributions paid?

Distributions are paid monthly by ACH once your investment is funded.

Can I reinvest my distributions?

Yes. You can choose to reinvest your monthly distributions instead of receiving them as cash.

Do I own equity in the project?

No — this structure is designed for income, not ownership.

Are there any management fees?

No — the model is income-only, with no management fees, performance fees, or equity splits.

Do you work with a third-party fund administrator?

Yes — fund administration is handled by AxisKey.

What type of tax reporting can I expect?

You'll receive an annual Schedule K-1. Your distributions are considered return of capital and are tax-deferred until your principal is returned. (Consult your tax professional for details.)

Can I invest through an IRA or my LLC?

Yes — many investors participate through a self-directed IRA or an entity. Reach out and we'll walk you through the options.

Is my capital locked up?

This is designed as a 36-month commitment, and the units are illiquid. Capital is generally returned near project completion, at the end of the rate-lock period. A redemption may be requested after the initial period but is at the Company's discretion, so invest only funds you can commit for the full term.

How is this different from a fund or REIT?

PAX Capital allocates capital into specific projects, not pooled portfolios. The model is income-only, focused on transparency and stability.
